These Terms and Conditions (“Terms”) govern your access to and use of Accion Labs’ website, platforms, and services (collectively, “Services”). By using our Services, you agree to these Terms. If you do not agree, you must discontinue use immediately.

1. General Terms of Use

You agree to use our Services only for lawful purposes and in accordance with these Terms and all applicable laws, including 10DLC (10-Digit Long Code), CTIA Guidelines, TCPA, GDPR, and CCPA.

We may update or modify these Terms, our Services, or any related features without notice. Updates will be posted with a revised Effective Date.

Access to certain features may require creating an account. You agree to provide accurate, complete, and current information.

Unauthorized use, reverse engineering, data scraping, interference with network security, or fraudulent use of our Services is prohibited.

Accion Labs reserves the right to suspend or terminate access to users who violate these Terms, applicable laws, or industry guidelines.

2. User Responsibilities and Limitations

Account Security: You are responsible for maintaining the confidentiality of login details and for all activity conducted under your account.

Prohibited Uses: You may not use the Services to:

Transmit unlawful, offensive, misleading, or harmful content.

Send prohibited content under CTIA guidelines (including SHAFT: Sex, Hate, Alcohol, Firearms, Tobacco).

Violate telecom regulations, data protection laws, or carrier requirements.

Spam, harass, impersonate others, or misrepresent your affiliation with any entity.

ompliance: You agree to comply with telecom carrier restrictions, 10DLC registration requirements, and privacy obligations when engaging in SMS communications.

Notification Obligation: You must promptly notify Accion Labs of unauthorized account use or suspected security breaches.

3. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied.

We do not warrant that the Services will be error-free, uninterrupted, or secure, nor that SMS communications will be delivered in real time. Delivery is subject to carrier and third-party networks.

To the fullest extent permitted by law, Accion Labs disclaims all liability for:

Service interruptions, delays, or transmission failures caused by carriers or vendors.

Unauthorized access to user accounts, transmissions, or stored information.

Losses or damages arising from reliance on our Services or communications.

In no event shall Accion Labs’ total liability exceed the amount paid by you (if any) for the Services within the twelve (12) months prior to the claim.

4. SMS Communication Terms (10DLC, CTIA & Privacy Laws)

Consent/Opt-In: By providing your mobile number, you expressly consent to receive SMS/text messages from Accion Labs, including service updates, alerts, marketing, and transactional communications. Consent is not a condition of purchase.

Message Frequency: The number of messages may vary depending on your interactions. Standard carrier messaging and data rates apply.

Opt-Out: You may stop receiving messages at any time by replying “STOP”. You will receive a final confirmation message. Even after opting out, you may still receive legally required or transactional notices (e.g., account or security updates).

Third-Party Involvement: We may use registered 10DLC numbers, carriers, and third-party vendors to deliver SMS. While we contractually require compliance with 10DLC and CTIA rules, Accion Labs is not responsible for delays, errors, or failures caused by these providers.

Data Handling & Privacy: Mobile numbers and SMS-related data may be collected, stored, and processed in line with our Privacy Policy and applicable privacy laws (e.g., GDPR, CCPA).

We do not sell, rent, or share your mobile number with third parties for marketing purposes.

Data is retained only as necessary for service delivery, regulatory compliance, or legitimate business purposes, and securely deleted thereafter.

You may request access, correction, or deletion of your SMS data by contacting us (subject to applicable legal obligations).

CTIA Compliance: Users must not transmit prohibited messaging content or engage in messaging behavior that violates CTIA or carrier policies. Violations may result in termination of messaging services.

5. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of state of Delaware, USA excluding its conflict of law rules.

Good-Faith Negotiation: Any dispute must first be addressed through good-faith discussions between you and Accion Labs.

Arbitration: If unresolved, disputes shall be referred to binding arbitration under the rules of American Arbitration Association (AAA) in Pittsburgh, unless otherwise required by law.

Waiver of Collective Actions: You waive the right to participate in class, representative, or consolidated legal actions against Accion Labs.

6. Modifications to Terms

Accion Labs may update these Terms at any time. Changes will be effective upon posting, with a new Effective Date indicated. Your continued use of our Services constitutes acceptance of updated Terms.
